BYLAWS
Adopted by vote July 13, 2023
ARTICLE I. NAME
The name of this organization shall be the Tomahawk Island Yacht Club, hereinafter called the Club.
ARTICLE II. PURPOSE
The purpose of the Club is to foster community and provide boating fun for the Tomahawk Island Moorage via boat, paddleboard, kayak, canoe, PWC and other water-based activities.
ARTICLE III. POLICY
A. To insist on the observation of and compliance with the Bylaws of the Club.
B. To cooperate with other boating associations to the benefits of the members of the Club.
C. There shall be no discrimination against any person on the basis of race, color, religion or sexual orientation.
D. Membership eligibility is limited to former and current residents and former and current owners of the Tomahawk Island Floating Homes Community.
ARTICLE IV. JURISDICTION
A. The Club has jurisdiction over any and all activities planned or done under the name of the Club.
B. The Club has jurisdiction over administrative tasks under the name of the Club.
C. The Club shall not be financially or legally liable for any actions of any kind committed by a member of the Club under any circumstances.
ARTICLE V. GOVERNING
A. The Club Commodore and any and all other governing officials, as determined by the members as necessary, shall be elected by the members at the annual meeting or the first meeting of opportunity for each calendar year.
B. Elected governing officials shall serve until the next annual meeting or the first meeting opportunity in the next calendar year.
C. Elected officials may be given a vote of no confidence or recalled prior to a meeting as noted in Article V-A as noted above by a majority of voting members.
ARTICLE VI. OFFICERS AND DUTIES
A. The Commodore is the Chief Executive, shall preside at meetings and generally facilitate discussion on content of interest to the members, including as requested by the members, and resolve any member disputes.
B. Other elected officials as determined by vote of members-Treasurer, Secretary, Event Committee, etc. shall carry out their duties and report at each meeting.
ARTICLE VII. Voting
A. Voting shall be by members present at a meeting and by written proxy assigned to members present at a meeting. One proxy vote per member attending meeting.
B.Voting shall be by dues-paid members via in-person voting or via email received by the Commodore prior to the scheduled start of the meeting. A simple majority of votes is sufficient for a valid vote.
C. These Bylaws and all subsequent policies and procedures may be changed by member voting as noted in A and B above, effective immediately after the conclusion of the meeting in which they were changed.
Bylaws may be voted on and amended at any in-person meeting including any annual meeting where officers and others may be elected.
